Enter the Iowa business entity number, the state-assigned ID printed on every filing. This returns one exact record with no name ambiguity. Use it when you already have the number from a contract, invoice, or prior filing and want to confirm the entity directly.

How do I do an Iowa registered agent lookup?

A “not in good standing” or delinquent flag often signals a single missed biennial report, not fraud or closure. Confirm the reason before you read it as a red flag.

How Do I Check LLC Name Availability in Iowa?

Search your exact proposed name plus close variations in the entity search. Iowa requires each name to be distinguishable from existing entities and to include the correct designator: an LLC must carry “Limited Liability Company” or “LLC,” and a corporation must carry “Corporation,” “Incorporated,” “Company,” or an abbreviation. If no close match appears, the name is likely clear to file.

Test punctuation and spelling variants too, since near-identical names get rejected at filing. Names implying a government agency or illegal activity are also barred.

What Is an Iowa Business ID Number?

An Iowa business ID number is the state-assigned entity number given at registration and printed on every filing. It is distinct from a federal Employer Identification Number (EIN), which the IRS issues, and from any Iowa tax permit number issued by the Department of Revenue. The business ID is searchable and identifies the entity in state records.

Use the business ID for state filings and Secretary of State searches. Use the EIN for federal tax, payroll, and banking.

Who Is a Registered Agent in Iowa and How Do I Look One Up?

Every Iowa entity must maintain a registered agent with a physical Iowa street address; a P.O. box alone is not allowed. The agent’s name and address are public and appear in the entity’s search record. Look one up by opening any entity record or by running a registered-agent search to find all entities linked to that agent.

The registered agent address is the legal correspondence address, not necessarily where the company operates. Records can show stale addresses when an entity fails to update them.

How Do I Get a Certificate of Good Standing in Iowa?

Iowa does not use the phrase “certificate of good standing.” It issues a Certificate of Existence, which costs $5 per certificate and is ordered through Fast Track Filing, per the Iowa Secretary of State. Certified copies of filings cost $5 plus $1 per page from the same office.

Does Iowa Require an Annual Report?

No. Iowa requires a biennial report, filed every two years, not an annual report. LLCs and LPs file in odd-numbered years; for-profit corporations file in even-numbered years; nonprofits file at no cost. The window is January 1 to April 1, set by the Iowa Code.

Miss April 1 and the entity turns delinquent; if the report is still unfiled by August, the state administratively dissolves a domestic entity or revokes a foreign one, per the Iowa Secretary of State. An LLC becomes subject to dissolution 60 days after the due date under Iowa Code §489.708.

Does Iowa Have a Franchise Tax?

Not a general one. Iowa’s franchise tax applies only to financial institutions, such as banks, savings and loans, trust companies, and production credit associations, under Iowa Code §422.60. Ordinary Iowa LLCs and corporations owe no franchise tax. This differs from Delaware and Texas, which levy franchise or margin taxes on most entities.

So a delinquency flag on a standard Iowa business almost never traces to franchise tax; it traces to a missed biennial report.

How Do Out-of-State Companies Register in Iowa?

Out-of-state companies transacting business in Iowa must foreign-qualify. A foreign for-profit corporation or LLC files a registration for a Certificate of Authority for a $100 fee, while a foreign nonprofit pays $25, per Iowa SOS forms 635_0110A and 635_0106. The home-state certificate of existence must be authenticated within 90 days of the Iowa application.

Once qualified, the foreign entity appears in the Iowa Business Entity Search with its home jurisdiction listed. A search shows only Iowa registration, not obligations in other states.

How Do I Verify an Iowa Business Before Signing a Contract?

Open the entity’s record and confirm five things: an Active status, the exact legal name, a current registered agent, a recent formation date, and an up-to-date biennial report with no dissolution flag. The filing history tab shows whether reports were filed on time. Any gap is worth a direct call before you sign.
