The Nebraska business entity search is a free online tool from the Nebraska Secretary of State (SOS) that covers every registered entity, trade name, trademark, and service mark in the state. You can run it in minutes from the official SOS Corporate & Business page. It costs nothing to use. This guide shows how to run the search, read the results, check name availability, and pull a Certificate of Good Standing.

What Is the Nebraska Business Entity Search?
The Nebraska business entity search is a free lookup of the SOS Corporate and Business database covering all entities (corporations, LLCs, LPs, nonprofits), trade names (DBAs), trademarks, and service marks, per the Secretary of State’s own description. It is broader than an entity-only search. Use it to verify a counterparty, check a name before forming, or confirm your own status.
Most guides treat this as an entity-only tool. It is not. The same database returns trade names, trademarks, and service marks, and lets you order Certificates of Good Standing and copies of filed documents by credit card. A limited liability company (LLC), a limited partnership (LP), and a “doing business as” (DBA) trade name all surface from one search box.

How Do You Do a Business Entity Search in Nebraska?
Open the SOS search tool, pick a search mode, enter at least three characters, complete the CAPTCHA (the anti-bot check), and click “Perform Search.” Results return instantly. The tool is linked from the SOS Corporate & Business page and is free for individual lookups. Follow the numbered steps below.
- Go to the SOS Corporate and Business search tool.
- Choose one of the five search modes in the table below.
- Enter your search string (minimum three characters) or the account number.
- Complete the CAPTCHA and click “Perform Search.”
- Click “Details” on any result row to open the full record.
Table 1 — the five search modes (source: the live SOS search tool’s help text):
| Mode | What it returns | When to use it |
|---|---|---|
| Name Starts With | Names beginning with your string (3-character minimum) | You know how the name begins |
| Name Keyword Search | Match All Words or Match Any Word, returned alphabetically | Partial or uncertain names |
| Name Sounds Like | Phonetic matches; very broad | Name-availability vetting |
| Name Exact Match | Full legal name including corporate ending only | Verifying a known entity |
| Account | Lookup by Secretary of State Account Number | You already have the entity ID |

For bulk needs, the SOS also sells batch records in comma-separated values (CSV) format at $15 per 1,000 records, per the SOS Corporate & Business page.
What Do Nebraska Business Search Results Mean?
Results return in a table with four columns: Name, Secretary of State Account Number, Type, and Status. Each row has a “Details” button that opens the full record, including registered agent, principal office, and filed documents. An active entity shows the status “Exists.” A dissolved or revoked entity cannot legally transact business in Nebraska.

Table 2 — status values and what each means (source: Nebraska SOS reinstatement and records descriptions):
| Status | What it means |
|---|---|
| Exists | Registered and active |
| Admin Dissolution – Time | Administratively dissolved for failing to file required reports |
| Admin Dissolution – Tax | Administratively dissolved for tax issues |
| Vol Dissolution – Articles | Voluntarily dissolved by filing articles of dissolution |
| Name Reserved | Name held under a reservation; no entity formed yet |

What Is a Nebraska Business Entity ID?
Nebraska’s business entity ID is the Secretary of State Account Number. The SOS assigns it at registration, shows it in the second column of every search result, and lets you search by it directly using the “Account” mode. It is the unique identifier for the business, distinct from the entity name, per the SOS database records.
How Do You Get a Certificate of Good Standing in Nebraska?
Order a Certificate of Good Standing online through the SOS/Nebraska.gov system: an electronic certificate costs $6.50 and is available immediately, while a mailed paper certificate costs $10.00 and arrives by United States Postal Service (USPS) within 2 to 3 business days, per the Nebraska.gov SOS certificate system. The certificate carries the State Seal and the Secretary of State’s signature.
Certified copies of filed documents are ordered the same way. The SOS Forms and Fee Information page confirms a $10.00 fee per certificate with seal and $1.00 per page for copies of records. Banks and lenders can validate any certificate for free using the Verification ID printed on it.

How Do You Check Nebraska Business Name Availability?
The free online search is a preliminary check only. An official name-availability determination requires a written request to the Secretary of State’s office. To hold a name, file an Application for Reservation of Name: the fee is $30 for a 120-day exclusive reservation, renewable only by filing again, per Neb. Rev. Stat. §21-109. Running the search first tells you what is already taken.
Commenda’s free company name checker helps you screen a name before you file. Nebraska’s statutory naming rules differ by entity type.
Table 3 — naming rules by entity type (source: Nebraska Revised Statutes):
| Entity type | Naming rule | Statute |
|---|---|---|
| LLC | Must contain “limited liability company,” “limited company,” or L.L.C., LLC, L.C., LC (Ltd./Co. abbreviations allowed); not deceptively similar to any name on SOS records | Neb. Rev. Stat. §21-108 |
| Corporation | Must contain “corporation,” “incorporated,” “company,” or “limited,” or corp., inc., co., ltd. | Neb. Rev. Stat. §21-230 (Model Business Corporation Act 4.01) |
| Trade name (DBA) | Must be distinguishable from names on SOS records | Neb. Rev. Stat. §21-109 (reservation cross-reference) |
How Does Biennial Reporting Affect Good Standing in Nebraska?
Nebraska entities keep good standing by filing biennial reports with the SOS. Miss the delinquency date and the state administratively dissolves the entity or revokes its authority, per the SOS Annual/Biennial Reporting page. The SOS may dissolve an LLC that fails to deliver its report within 60 days after the due date (Neb. Rev. Stat. §21-151). Reinstatement is available afterward.
Table 4 — due dates and fees by entity type (source: Nebraska SOS Annual/Biennial Reporting page):
| Entity type | Report and deadline | Fee |
|---|---|---|
| Corporations & professional corps | Biennial occupation tax report, due March 1 of even-numbered years, delinquent April 15 | Occupation tax scaled to paid-up capital; minimum $26 domestic, $52 foreign |
| LLCs & professional LLCs | Biennial report, due April 1 of odd-numbered years, delinquent June 16 | $25 online, $30 paper |
| Nonprofit corporations | Biennial report, due April 1 of odd-numbered years, delinquent June 16 | $25 online, $30 paper |
| LLPs | Annual report, due April 1 every year, delinquent June 16 | Per SOS fee schedule |
Grounds for administrative dissolution include failure to file a report, failure to maintain a registered agent, or expired corporate existence, per the SOS Reinstatement Information page. Entities inactive more than five years pay a $500 late reinstatement fee ($100 for homeowners associations), plus back reports and interest; LLPs get only a two-year reinstatement window.
What Business Types Appear in a Nebraska Entity Search?
The search returns corporations, LLCs, LPs, and nonprofit corporations, plus three record types many guides omit: trade names (DBAs), trademarks, and service marks. Each entity type registers with the Nebraska Secretary of State and appears in the same results table with its Type and Status, per the SOS Corporate and Business database description.
What Should You Do After the Search?
If the name is free, reserve it or file your formation documents with the SOS, appoint a registered agent, and register with the Nebraska Department of Revenue for taxes. Commenda’s incorporation service handles formation end to end. See our guides on registering a business in Nebraska, getting a Nebraska business license, and applying for a Nebraska sales tax permit.
