UAE Trade License: Operating a Legal Business in the UAE

No company can legally operate in the United Arab Emirates (UAE) without a trade license. The UAE is a leading global business hub, and that access starts with this one document. The rules also shifted twice recently. Federal Decree-Law No. 32 of 2021 opened 100% foreign ownership of most mainland companies, per the UAE Ministry of Economy and Tourism (MoET) Commercial Companies Law. Corporate Tax then arrived for financial years starting on or after 1 June 2023.

This guide covers license types, jurisdictions, cost, renewal, tax, and what your license unlocks. Verify current fees on each authority’s portal before you budget.

What Is a UAE Trade License?

A UAE trade license is a mandatory legal document that names the exact business activities a company may perform. It is issued by the emirate-level economic department (the Department of Economic Development, DED, which operates in Dubai as the Department of Economy and Tourism, DET) or by a free zone authority. Operating without one is illegal. We use “DED/DET” throughout.

A valid license unlocks the core building blocks of a UAE business:

  • Opening a corporate bank account.
  • Applying for investor and employee residence visas.
  • Signing enforceable contracts.
  • Importing and exporting goods.
  • Registering for VAT and Corporate Tax.
  • Bidding on government tenders.

What Are the Types of Trade Licenses in the UAE?

The UAE has four primary trade license types: commercial, professional, industrial, and tourism. Newer variants cover crafts, e-commerce, and freelancers. Your activity list decides which one you hold, and each license permits only the activities named on it. Regulated activities also need external approvals from the relevant ministry or authority.

What Is a Commercial License in the UAE?

A commercial license covers trading, distribution, e-commerce, real estate brokerage, and logistics. The general trading sub-variant lets one company trade many unrelated product categories under a single license.

What Is a Professional License in the UAE?

A professional license covers knowledge and service work: consultancy, legal, accounting, medical, engineering, IT, and marketing. Professional licenses allowed 100% foreign ownership even before 2021, through a Local Service Agent who takes a fee, not equity.

What Is an Industrial License in the UAE?

An industrial license covers manufacturing, processing, assembly, and packaging. It requires a physical facility plus approvals from the Ministry of Industry and Advanced Technology, the municipality, and civil defense.

What Is a Tourism License in the UAE?

A tourism license covers travel agencies, tour operators, and hotels. In Dubai, DET regulates tourism activities and requires tourism-specific approvals before issuance.

What Are Crafts, eTrader, and Freelance Licenses?

A crafts (craftsmanship) license covers skilled manual trades such as carpentry, plumbing, blacksmithing, and tailoring. The emirate economic department issues it in the emirates that recognize it. It differs from an industrial license because it is individual skilled labor with no factory, and from a commercial license because it involves making or repairing, not trading. Dubai’s eTrader license serves home-based and social-media sellers, Abu Dhabi’s TAMM platform issues e-commerce licenses, and free zones such as DMCC, twofour54, and Dubai Media City issue freelance permits. Mainland vs Free Zone vs Offshore: Which Jurisdiction Do You Need?

Choose mainland to trade directly anywhere in the UAE, a free zone to trade within the zone and abroad, and offshore only to hold assets outside the country. Mainland licenses come from the emirate DED/DET. Free zone licenses come from the free zone authority. Offshore vehicles (for example, JAFZA Offshore, RAK ICC) get an incorporation certificate, not a trade license, and cannot do business inside the UAE.

Since Decree-Law No. 32 of 2021, free zones are no longer the only route to 100% foreign ownership. So the real decision factors are market access, visa quotas, office cost, banking ease, and tax treatment.

Can a Foreign-Owned Company Get a UAE Trade License?

Yes. Federal Decree-Law No. 32 of 2021 removed the mandatory 51% Emirati shareholding for most commercial and industrial mainland activities. Foreign investors can now own 100% of most mainland companies, and of free zone companies as always. The exception is each emirate’s strategic-impact activity list, which still requires Emirati participation.

Distinguish two roles. The old local sponsor held 51% equity and is now obsolete for most LLCs. A Local Service Agent (LSA) takes an annual fee, holds no equity, and remains relevant for certain professional structures and foreign branches.

Which Authority Issues Trade Licenses in Each Emirate?

Licensing is emirate-level. Each of the seven emirates runs its own economic department with its own portal, fee schedule, and activity list. Free zone authorities license inside their own zones regardless of emirate. The federal Basher platform, linked from MoET, supports online company setup for eligible activities.

How Do You Register a Trade Name in the UAE?

Reserve your trade name with the emirate economic department or free zone authority before initial approval. Approval depends on the name following UAE naming rules. Use the Commenda company name checker to test availability before you file.

A name is rejected when it:

  • Offends public morals or religious sentiment.
  • Uses the name of a ruler or government body.
  • Matches or closely resembles a registered name.
  • Misleads on the actual activity.

Personal names must use the owner’s full name. Foreign-language names carry a fee premium in some emirates. Confirm current rules and fees on the DET trade name service page.

What Documents Are Required for a Trade License Application?

The core set is the approved trade name certificate, the initial approval receipt, the Memorandum of Association (MOA), passport copies of all shareholders and managers, the signed application, and a tenancy contract (Ejari in Dubai). Regulated activities and branches add more.

Common additions by case:

  • External approvals for regulated activities.
  • Attested parent company documents for a branch.
  • A no-objection certificate (NOC) from a current sponsor where applicable.

What Is the UAE Trade License Application Process?

The process runs in eight steps and is usually completable online. Trade name, legal form, documents, cost, and timeline each have a dedicated section above and below.

  1. Choose your business activity and jurisdiction.
  2. Choose your legal form.
  3. Register and reserve the trade name.
  4. Get initial approval.
  5. Secure external approvals for regulated activities.
  6. Submit the final application with documents.
  7. Pay the fees.
  8. Collect your trade license.

How Long Does UAE Trade License Approval Take?

Standard activities with complete documents take roughly 3 to 7 working days. Activities that need external approvals can take up to 4 weeks. Dubai offers an instant license path for eligible activities that can issue in minutes without an immediate tenancy contract. Confirm the current scope and name on the DET portal, since eligibility changes.

How Much Does a Trade License Cost in Dubai?

A Dubai mainland license cost stacks several fees, so no single figure applies, and free zone packages vary widely. Costs build up across name reservation, initial approval, the license fee, market fees, Ejari, and any external approvals. Confirm current AED amounts on Dubai’s Invest in Dubai / DET portal before budgeting, because published rates change.

Which Is the Best Free Zone for a Trade License in the UAE?

There is no single best free zone. The right zone depends on your activity, visa needs, office requirements, and budget. Financial free zones such as ADGM and DIFC run their own common-law regulators. Confirm current package prices on each zone’s official site, since they change often.

How Long Is a UAE Trade License Valid and How Do You Renew It?

A UAE trade license is typically valid for one year from issuance, and some authorities offer multi-year renewal options. Renewal runs online through the DET/DED portal or the free zone portal. A valid tenancy contract (Ejari in Dubai) is the key prerequisite.

To renew a Dubai trade license, settle any fines, renew your Ejari, update documents, then submit and pay. Renewal fees roughly track the initial license fee minus one-time setup costs. Confirm current renewal figures on the DET portal before you plan cash flow.

What Happens If You Miss the Trade License Renewal Deadline?

An expired license suspends your legal business activity immediately, then triggers monthly fines and escalating consequences. These include blocked bank transactions, frozen visa processing, blacklisting, and eventual forced deregistration. To reinstate, settle the fines, renew your Ejari, and resubmit the renewal.

How Does Your Trade License Affect Corporate Tax and VAT?

Your license jurisdiction and activity decide your tax exposure. UAE Corporate Tax applies for financial years starting on or after 1 June 2023, at 9% on taxable profits above AED 375,000 and 0% below. A Qualifying Free Zone Person (QFZP) keeps 0% on qualifying income if it meets substance conditions. VAT (Value Added Tax) is 5% and has applied since 2018. Every licensed business must register for Corporate Tax, whatever its profit.

Can You Open a Corporate Bank Account With a UAE Trade License?

Yes, and a valid trade license is the non-negotiable prerequisite for a UAE corporate bank account. Banks also require the MOA, shareholder passports, proof of address, and increasingly evidence of substance and a business plan under UAE anti-money-laundering rules.

Account opening commonly takes 2 to 4 weeks, per bank onboarding guidance. It can run slower for offshore companies and for certain nationalities or activities. An expired license freezes account services, so keep renewals current.

What Visas Does a UAE Trade License Unlock?

A trade license makes your company a visa sponsor. Owners can apply for an investor or partner residence visa, and the company can sponsor employee visas up to the quota set by office size (mainland) or the license package (free zone). License expiry blocks new visa applications and renewals.

Each licensing authority offers a free online lookup. In Dubai, use the DET license search on the Invest in Dubai portal. In Abu Dhabi, use ADDED through TAMM. Other emirates and free zones run their own registers. Enter the license number or company name to confirm validity, activities, and expiry.
