  • You don't need to fly to Germany

German law requires an in-person notary appointment - so an authorized agent attends it for you under a power of attorney you sign and apostille at home.

  • You don't need a local lawyer

We draft your statutes and bilingual power of attorney, coordinate the German notary, and file your formation paperwork, with English translations of everything you review.

  • Everything handled

Tax setup, bank account assistance, and your compliance calendar are handled and tracked from day one. No risk of missing any deadlines.

GmbH (Gesellschaft mit beschränkter Haftung)

A GmbH - Germany's equivalent of a private limited company - is the most widely used structure for foreign-owned subsidiaries in Germany. It offers strong liability protection, global credibility, and is the standard expectation of German banks, enterprise customers, and partners. Formation requires notarization by a German notary and registration in the Commercial Register (Handelsregister), with €25,000 in share capital of which €12,500 must be paid in before registration.

Benefits

  • Limited liability: Shareholders' liability is limited to their capital contributions, keeping personal assets protected.
  • Fully foreign-owned: No German residency requirement for shareholders or managing directors - 100% foreign ownership is permitted.
  • Perpetual existence: Ownership changes don't affect the company's continuity.
  • Credibility: Well-recognized and trusted by German banks, enterprise customers, and government bodies.
  • EU market access: A base in Europe's largest economy, with access to the EU single market and Germany's network of tax treaties.

UG (haftungsbeschränkt)

A UG - short for Unternehmergesellschaft, sometimes called a "mini-GmbH" - is a simplified, lower-capital variant of the GmbH. It allows founders to begin operating with minimal upfront capital, making it accessible for early-stage ventures and lean market entries.

Benefits

  • Minimal capital: Can be formed with as little as €1 in share capital - a far lower barrier than the GmbH's €25,000.
  • Limited liability: The same liability protection for shareholders as a GmbH.
  • Same legal standing: Operates like a GmbH for day-to-day business.
  • Upgrade path: Converts into a full GmbH once retained earnings reach €25,000 (25% of annual net profits must be retained until then).
