How to Register a Business in Hawaii: Step-by-Step Guide

Registering a business in Hawaii means dealing with three separate agencies and one portal. The Hawaii Department of Commerce and Consumer Affairs (DCCA) Business Registration Division (BREG) forms your entity. The Hawaii Department of Taxation issues your General Excise Tax (GET) license. The Internal Revenue Service (IRS) issues your Employer Identification Number (EIN). Nearly all of it runs through Hawaii Business Express, the state’s online filing portal.

Two rules catch mainland founders off guard. Every Hawaii LLC and corporation must maintain a registered agent with a physical Hawaii street address. And nearly every business, including freelancers, needs a GET license before earning income. Start by filing your entity with the DCCA Business Registration Division.

How Much Does It Cost to Register a Business in Hawaii?

A bare-bones Hawaii LLC costs $50 to file Articles of Organization, plus a $1 State Archives fee, per the DCCA fee schedule. A realistic year-one cost runs $75 to $200 or more once you add name reservation, a GET license, and a registered agent service. The table below lists every core fee.

A Certificate of Good Standing is official proof your entity is active and compliant. Banks, lenders, and other states request it. The EIN is free from the IRS, so treat any third-party site that charges for one as an upsell you do not need.

What Is the Best Business Structure for a Hawaii Startup?

Most Hawaii startups form an LLC for liability protection plus pass-through taxation. A C-corporation fits companies raising venture capital, because investors expect that structure. Your choice sets your liability shield, tax treatment, and filing burden. The table below compares each entity and how the IRS taxes it.

StructureLiabilityFederal tax treatmentDCCA filing
Sole proprietorshipNo shieldPass-throughNone unless using a DBA

Partnerships and limited partnerships are legitimate registration paths. Startups rarely choose them.

How Do You Register a Business in Hawaii Step by Step?

Register a Hawaii business in five moves: choose a structure, secure a name, file formation documents with the DCCA through Hawaii Business Express, get an EIN from the IRS, then register for the GET. Each step below stands on its own so you can act on it independently.

How Do You Check and Reserve a Business Name in Hawaii?

Search the Hawaii Business Express business name database first. Your name must be distinguishable from existing registered entities. LLCs must include “LLC,” “L.L.C.,” or “Limited Liability Company.” Corporations need “Inc.,” “Corp.,” “Ltd.,” or an equivalent designator. Filings without the correct designator get rejected.

Reserving a name is optional. A reservation costs $10 and holds the name for 120 days, per the DCCA fee schedule. Check availability fast with Commenda’s company name checker before you file.

How Do You File Articles of Organization for a Hawaii LLC?

File Articles of Organization online through Hawaii Business Express for $50, plus a $1 State Archives fee, per the DCCA fee schedule. The form lists your entity name, registered agent, organizer, and management structure. Online filing is the fastest route.

Hawaii does not require a filed operating agreement. Draft one anyway to document member rights and governance.

How Do You Form a Corporation in Hawaii?

File Articles of Incorporation with the DCCA for $50, per the DCCA domestic profit corporation fee schedule. You name directors, an incorporator, and your authorized share structure. Hawaii corporations form under the Hawaii Business Corporation Act, Hawaii Revised Statutes Chapter 414.

Bylaws are not filed with the state. Corporations should adopt them to govern shareholders and directors.

Do You Need a Registered Agent in Hawaii?

Yes. Every Hawaii LLC and corporation must continuously maintain a registered agent with a physical Hawaii street address, under Hawaii Revised Statutes Section 428-107. No P.O. boxes. The agent must be available during business hours, and can be a Hawaii resident or a commercial registered agent service.

Update agent information promptly through the DCCA whenever it changes.

How Do You Register a Trade Name (DBA) in Hawaii?

Sole proprietors operating under any name other than their legal name register a trade name (DBA) with the DCCA for $50, per the DCCA Form T-1 instructions. A Hawaii trade name registration runs for five years. It secures the name only and creates no liability protection.

How Do You Get an EIN for Your Hawaii Business?

Apply free on the IRS website, where online issuance is immediate. You need an EIN to hire, open a business bank account, and complete most tax registrations. Foreign founders without a Social Security number apply by mail or fax, which takes longer.

Open a dedicated business bank account with your EIN and formation documents to keep liability protection intact.

How Do You Register for Hawaii General Excise Tax (GET)?

Hawaii has no conventional sales tax. It levies the General Excise Tax (GET) on a business’s gross income. Nearly every business with Hawaii income, including service providers and freelancers, must get a GET license by filing Form BB-1 for a one-time $20 fee through Hawaii Tax Online, per the Hawaii Department of Taxation.

The GET base rate is 4% statewide. Oʻahu (Honolulu County) adds a 0.5% county surcharge for a 4.5% effective rate. Businesses commonly pass the tax on to customers at 4.712% on Oʻahu. Other counties set their own surcharges, so confirm current rates with the Department of Taxation. Filing frequency (monthly, quarterly, or semiannual) depends on your income.

Short-term rental operators must also register for the Transient Accommodations Tax (TAT), which uses separate rates and forms from the GET.

Do You Need a Business License in Hawaii?

Hawaii has no single general business license. The GET license is the closest universal requirement, and industry or county licenses stack on top. Registration forms your entity with the DCCA. Licensing grants permission to operate. They are two separate steps that founders often confuse.

Regulated professions (law, medicine, engineering, real estate, contracting, cosmetology) require separate licensure from state boards, with their own fees and timelines outside the DCCA schedule. County permits (zoning, building, health, liquor) vary across Honolulu, Maui, Kauaʻi, and Hawaiʻi counties. The Hawaii Business Action Center maps requirements to your industry.

How Long Does Hawaii Business Registration Take?

Online filings through Hawaii Business Express typically process in 3 to 5 business days. Paper filings take 2 to 4 weeks. Expedited service adds about $25 and cuts turnaround to 1 to 3 business days. EIN issuance is immediate online, and peak filing periods slow everything down.

What Are Hawaii’s Annual Report Filing Requirements?

All Hawaii LLCs, corporations, partnerships, and nonprofits file an annual report with the DCCA Business Registration Division. It is due by the end of the calendar quarter containing your registration anniversary. The fee is $15 for LLCs and for-profit corporations, and $5 for nonprofits, per the DCCA fee schedule.

Registration quarterDue dateFeeSource
Jan–MarMarch 31$15 ($5 nonprofit)DCCA fee schedule
Apr–JunJune 30$15 ($5 nonprofit)DCCA fee schedule
Jul–SepSeptember 30$15 ($5 nonprofit)DCCA fee schedule
Oct–DecDecember 31$15 ($5 nonprofit)DCCA fee schedule

The report confirms current officers or members, your registered agent, and your principal office address. Update material changes promptly through amended filings.

What Happens If You Miss Your Hawaii Annual Report?

Missing your annual report leads to loss of good standing and eventually administrative dissolution. Reinstatement requires an application, back reports, and additional fees. File immediately if you are overdue to limit the damage.

When Do You Need a Certificate of Good Standing?

A Certificate of Good Standing costs $5 from the DCCA, or $10 expedited, per the DCCA fee schedule. It proves your entity is active and compliant. Banks, lenders, investors, and other states request it during foreign qualification. Order it online through Hawaii Business Express.

How Do You Register a Foreign LLC or Corporation in Hawaii?

An out-of-state entity doing business in Hawaii files an Application for Certificate of Authority with the DCCA for $50. Attach a Certificate of Good Standing from your home state, typically dated within 60 days, and designate a Hawaii registered agent. LLCs file Form FLLC-1 under Hawaii Revised Statutes Section 428-1002; corporations file Form FC-1.

Foreign qualification generally applies once you have a Hawaii office, employees, property, or ongoing in-state business activity. Passive investment or isolated transactions may not trigger it, so get legal advice for borderline cases. Foreign-qualified entities follow the same GET and annual report rules as domestic ones.

How Do You Look Up a Hawaii Business Registration?

Search the Hawaii Business Express business search by name, registration number, or trade name. Results show status, entity type, formation date, registered agent, and filing history. Use it to check name availability before filing and to vet vendors or partners before signing.
