Missouri LLC Formation: Registration Process and Compliance

Forming a Missouri LLC (Limited Liability Company) takes one state filing plus a short list of federal and ongoing steps. Get the sequence wrong and you lose time and, worse, the liability protection you formed the company to get.

Here are the headline facts. Missouri charges $50 to file Articles of Organization online, requires no annual report for domestic LLCs, and often processes online filings immediately, per the Missouri Secretary of State. This guide covers the full process and every deadline that follows.

Why Form an LLC in Missouri?

A Missouri LLC gives you personal liability protection, pass-through taxation, one of the lowest filing fees in the country at $50 online, and no annual report requirement. Ownership carries no residency restriction, and management structure stays flexible. For a home-state operating business, that mix is hard to beat.

Unlike Illinois, which charges an annual LLC fee, Missouri imposes no yearly state LLC filing fee. That keeps the multi-year cost of ownership low.

How Do You Form an LLC in Missouri?

You form a Missouri LLC in eight steps, from a name search to opening a bank account, and the Articles of Organization filing is the only mandatory Missouri paperwork. The rest are federal or practical steps that keep your company compliant and bankable. Work them in order.

  1. Search and choose a distinguishable name with an LLC designator.
  2. Appoint a registered agent with a physical Missouri address.
  3. File the Articles of Organization with the Missouri Secretary of State.
  4. Draft an operating agreement (recommended, not filed).
  5. Get an EIN from the IRS.
  6. Secure any local and industry licenses.
  7. Open a business bank account.
  8. Track ongoing compliance (registered agent, taxes, license renewals).

How Do You Check Missouri LLC Name Availability?

Run your name through the Missouri Secretary of State business entity search before you file. The name must be distinguishable from existing entities and include an LLC designator. You can reserve an available name for 60 days for $25 using Form BE-1, per the Missouri SOS fee schedule.

Commenda’s company name checker confirms availability before you commit to a filing.

What Is the Missouri LLC Registered Agent Requirement?

Every Missouri LLC must continuously maintain a registered agent and registered office at a physical Missouri street address, per RSMo Section 347.030. A P.O. box alone does not qualify. The agent can be any Missouri resident aged 18 or older, an authorized business entity, or you, the owner.

The agent’s address is public and the agent must be available during business hours. RSMo 347.030 requires the agent’s business office to be identical to the registered office. Professional agent services typically run $50 to $300 per year, based on current provider market pricing, though many owners serve as their own agent for free.

How Do You File the Missouri Articles of Organization?

You file the Articles of Organization with the Missouri Secretary of State: $50 online or $105 by paper, per the SOS fee schedule and Form LLC-1 (rev. 01/2025). Online filings are often processed immediately after submission. Missouri calls this document the Articles of Organization, never a “Certificate of Formation.”

Your LLC is legally formed on the filing date, or on a later date named in the articles up to 90 days out, per RSMo Section 347.039.

How Much Does It Cost to Start an LLC in Missouri?

The minimum cost is $50 to file online. Optional add-ons (registered agent service, name reservation, a fictitious name, and local licenses) can push first-year spend to $100 to $400 or more. Missouri charges no annual report fee, so recurring costs stay low relative to most states.

Does Missouri Require an LLC Operating Agreement?

No. Missouri does not require you to file an operating agreement, but it is strongly recommended, and some banks ask to see one before opening an account. The document should cover ownership percentages, management structure, profit distribution, and dissolution terms. Free templates exist, and attorney drafting runs roughly $200 to $1,000.

Single-member owners still benefit. The operating agreement is the primary evidence courts look at to respect the separation between you and the company, which protects your liability shield.

Does a Missouri LLC Need an EIN?

Yes, in most cases. An EIN (Employer Identification Number) is required for any multi-member LLC, any LLC with employees, and any LLC electing corporate taxation. A single-member LLC with no employees can technically use the owner’s SSN (Social Security Number) for federal tax, but nearly every bank requires an EIN to open a business account.

Because banking, hiring, and payroll all depend on the EIN, most owners get one even when federal tax rules would not strictly require it.

How Do You Get an EIN for a Missouri LLC?

Apply free on the IRS website and you receive the EIN immediately. Fax and mail applications take longer. Foreign owners without an SSN apply by phone or paper form and name a responsible party. Never pay a third party for the number itself, because the IRS issues it at no cost.

Start at the IRS online EIN application. Keep the EIN confirmation letter, since banks ask for it when you open your account.

How Does a Single-Member LLC Work in Missouri?

A single-member Missouri LLC files the same $50 Articles of Organization and gets the same liability protection as a multi-member LLC. By default, the IRS treats it as a disregarded entity, so business income flows onto the owner’s federal Schedule C. You still register the LLC with the state as a separate legal entity.

You may use your SSN for federal tax, but an EIN is needed for banking and hiring. An operating agreement still matters here, since it supports charging-order and veil protection. Keep a dedicated business bank account to preserve the separation.

How Are Missouri LLCs Taxed?

Missouri LLCs are pass-through entities by default, so members pay Missouri individual income tax and federal self-employment tax on their share of profit; the LLC itself pays no separate state income tax. Missouri levies no franchise tax on LLCs, since the corporate franchise tax was repealed and fully phased out.

Missouri’s top rate has fallen through enacted revenue-triggered cuts, from a former 5.4% toward a flat structure, per the Missouri Department of Revenue.

What Business Licenses Does a Missouri LLC Need?

Missouri has no general statewide business license. Licensing is local and industry-specific, covering trades like contractors, salons, automotive services, and professional practices. Check the Missouri Division of Professional Registration and your city or county offices for what applies to your business.

If you sell taxable goods, register for a sales tax license with the Missouri Department of Revenue. Note that St. Louis and Kansas City both levy a 1% local earnings tax, which many guides miss.

How Do You Open a Business Bank Account for a Missouri LLC?

Banks typically require the filed Articles of Organization, your EIN confirmation letter, an operating agreement, and owner identification. A separate business account is what preserves your liability shield in practice. Entity formation and the EIN must come first, since the bank verifies both before opening the account.

Commingling personal and business funds is a leading reason courts pierce the liability veil. Keep every business transaction in the dedicated account from day one.

What Are the Ongoing Compliance Requirements for a Missouri LLC?

Missouri requires no annual report and no annual state LLC fee for domestic LLCs, per the Missouri SOS fee schedule. Ongoing obligations are keeping your registered agent current, filing state and federal taxes, and renewing any local licenses. Corporations must file an annual registration report; LLCs do not.

What Mistakes Should You Avoid When Forming a Missouri LLC?

The most common failures are avoidable with a checklist. Each one below carries a real consequence, from a rejected filing to a lost liability shield.

  • Choosing a name already in use or missing a designator: the SOS rejects the filing.
  • Letting the registered agent lapse: you miss legal service and risk dissolution.
  • Using a P.O. box as the agent address: not allowed under RSMo 347.030.
  • Skipping the operating agreement: weakens veil protection, especially for single-member LLCs.
  • Missing local or industry licenses: fines and forced closure.
  • Commingling business and personal funds: opens you to a pierced liability veil.
